13 August 2010 In an Annual General Meeting of a pvt. ltd. company a member who is also a director of the company seconded the resolution for appointment of a person who is his relative.

is there any section which bars such proposal in case of relatives because it is a GENERAL MEETING AND NOT BOARD MEETING.

13 August 2010 Your doubt is correct. The concept of interested director is applicable only on the directors and not on the shareholders in the GM.

So in the capacity of shareholder voting is very much possible.
