13 December 2011 Sir, Let me know what are the forms to file to increase authorised share capital and issue of shares with RoC.

13 December 2011 e-Form No 5 (for change in Share capital) and e-Form No 23 (for special resolution)

13 December 2011 e-form 5 is to be filed for increase in Share Capital

E-form 23 is to be filed if AOA is altered and for that special resolution is passed otherwise form 5 is sufficient.

14 December 2011 Form 5 is for change in capital, either for increase or decrease.

Form 23 is for special resolution, hence if applicable, file it.

For increase in AC Memorandum is required to be altered. For this you have to pass an ordinary resolution in the general meeting.

You have to file form-5 for increase in AC. With form-5 you have to attach altered MOA and certified true copy of shareholders approval.

You have to pay stamp duty on altered MOA along with ROC fee.
