what is the procedure to increase the number of directors in a private limited company? and what statutory compliances are to be fulfilled?

31 January 2011 For increasing the number of director of a private ltd company u have to pass resolution in board meeting for the appointment or in general Meeting...

File with the ROC form 32 for appointment within 30days of passing the Resolution..

NOW, I WOULD LIKE TO ASK U WHETHER EITHER OF BOARD RESOLUTION OR RESOLUTION IN GENERAL MEETING IS TO BE PASSED OR BOTH OF THEM FOR INCREASE IN NO.OF DIRECTORS IN A PVT. LTD. CO.

01 February 2011 Wish to appoint at the time of General Meeting then pass Ordinary resolution in General Meeting other wise pass Board Resolution any other time, keeping in view the quorum for Board Meeting As per provision of Sec 287 of Companies Act 1956.
