21 July 2015 Dear Friends / Experts,

Please guide me on the following, IF POSSIBLE:

A Private Limited Company has increased its Authorized Share Capital on 31/12/2013. Company has failed to file any forms relating to that.

Query

Whether Company has to file CONDONATION OF DELAY ‘for non-filing of Form MGT-14’ for filing EGM Notice in respect of Increase in Authorized Share Capital.

23 July 2015 you can increase authorised capital via conducting EGM with ordinary resolution. as per my view ordinary resolution is not required to file in roc via mgt 14, so there is no need of this
