Increase in Authorised Share Capital of Private Co.

17 July 2009 Can any one give me the detailed procedure to increase the authorised capital of a private limited co. from 10 lacs to 50 lacs..?
Which are the forms to be filed with ROC & Other Documentation required, if any?

17 July 2009 Hi,

You have to file form 5 for increase the authorised capital.

1. First convene a Board meeting and pass to resolution:

i. For increase the authorised capital.

ii. For calling general meeting.

2. Hold the GM on due date and pass the shareholders ordinary resolution for increase the authorised capital u/s 94 and for alteration of memorandum of association.

3. Get unsigned copy of form 5 stamped.

4. Upload form 5 after proper certification and proper attachments.

ATTACHMENTS OF FORM-5 ARE:

Altered MOA
Stamped scanned copy of form-5.
Copy of GM resolution.
