In case a Public Company is to be incorporated , in is it necessary to allot subscription shares to the subscribers of the AOA & MOA ?

And also where can i get object clause for Agrochem and Agro Products manufacturing company ?

12 January 2010 Subscribers of MOA are deemed shareholders of the company. They don't need to take shares. As soon as they subscribe the MOA & file it with ROC along with other incorporation documents they become the members as well as shareholders of the company.

Form-2 is not required to be filed for subscribers hence no formal allotment is required in case of subscribers. They are deemed members and shareholders of the Company.

To manufacture, produce, refine, process, formulate, buy, sell, import, export or otherwise deal in basic drugs, phyto chemicals, plant extracts, dues, pesticides and their intermediates, laboratory and scientific chemicals used or cable of being used in the pharmaceuticals, textiles, agriculture, fertilizers, petrochemicals or any other industry and trade or laboratory including industrial chemicals or any other mixture, derivatives and compound thereof.

To carry on the business, as manufacturers of and dealers in and importers, and exporters of all kinds of basic drugs, drug intermediates, any chemicals, heavy or fine, organic, agro-chemicals, aromatic chemicals, dyes and dyes intermediates, pharmaceuticals, medicinal, herbal, bacteriological, biological, chemicals and all allied chemicals and products thereof.

I find your advices or solutions very helpful and easy to understand.

Can I get the procedure of daily compliance procedure after incorporation of a Public Company i.e How to Conduct Statutory Meeting ?
- First BM for Pub. Ltd Co. ?
- Notice for Statutory Meet. and Agenda ?
- and Initial compliance in order to regularize the proceedings of the Co.
