21 December 2009 Dear Professional Collegue,

I have fllg query:

We would like to Incorporation of Company whose Main Object will in R & D and will be incorporate as private Ltd Company which will be subsidiary of Private Ltd., What are the Compaliances required as under Compaies Act, 1956.

1. Whether is there any different Compliances other than Normal Incorporatio of Companies.

2.Whether will there any difference in Capital requirement of the Company?

3. Role of Roc in the said regards?

4. Which kind of Corporate and Legal Compliances required other than aforesaid?

Plz suggest on the same.
