A holding company is being taken over by another company and the holding company proposes to shift its all employees to its subsidiary company. can this be done? if so will the epmloyees of holding company carryon the same position in the subsidiary company.

yes. it can be accordingly the PF/ESI/PT/Gratuity and other related things has to be taken care and settled

A company proposing to make Related party transaction with wholly owned subsidiary please confirm whether the company has to hold a General Meeting every time as and when they have passed a blanket resolution for entering into contract with (WOS)

Contracts can be entered by the board meeting decision. how ever the details need to be entered with sec.301 register as per companies act

Yes. KMPs need to withdraw in existing companies and need to file resolution for new company

If the Face Value of Shares is Rs. 10/- and Fair value is Rs 3/- and the Company wishes to issue Shares at Rs 6/- can it make so..?
