i need a clarification w.r.t procedures for setting/formation of liaison in india for ROC/ INCOME TAX DEPT/ DOCUMENTS NECCESSARY. REPLY its urgent

First you need to take permission from Reserve Bank of India by filing the prescribed application which is available on the RBI network and you can also go to the link hereunder:

Once you satisfy the conditions you can go ahead and set up a liaision. Nothing as far as ROC is concerned. Your liaision office cannot earn any income so why IT dept.worry.

pls reply whether procedures for formation of a liaison office is same as of formation of a company...

No they are not, it just like opening a branch of your office in another place. If you open a caompany why do you need a liasion office. You will have a subsidiary itself.
