11 October 2010 How to conduct 1st BM of the Company if one of the Directors is out of India. Total Director are 2 and case is of private company.

Please tell its urgent.

11 October 2010 BM in your case is not possible with one director. I would advise you to hold it later with proper quorum.

For the compliance of section 224(5) appoint first auditor in GM. Read section 224(5) carefully.

11 October 2010 Sir,

Is there no other requirement except 224(5) which shall be complied with First BM

further, in instant case, Director shall not be able to come back in india in next six months. What other options do I have? I have heard about POA, video conferencing but nor sure about its legality.

12 October 2010 video conferencing has no legal recognition till date.

Please share the date of incorporation of the company and the date on which your director left India...
