How to conduct 1st BM of the Company if one of the Directors is out of India. Total Director are 2 and case is of private company.

BM in your case is not possible with one director. I would advise you to hold it later with proper quorum.
For the compliance of section 224(5) appoint first auditor in GM. Read section 224(5) carefully.

Sir,
Is there no other requirement except 224(5) which shall be complied with First BM
further, in instant case, Director shall not be able to come back in india in next six months. What other options do I have? I have heard about POA, video conferencing but nor sure about its legality.

video conferencing has no legal recognition till date.
