27 September 2010 First auditor need to be appointed within one month from the date of Incorp by the Board of Director. (Sec 224(5))

And if board fails than need to appoint in Genenral Meeting.

For removal of further doubts let me tell you that there is no need to inform ROC regarding the appointment of first auditor through filing of form 23B.
