Dear Members please guide me regarding following query-
In company XYZ there is a casual vacancy in the office of auditors arising due to resignation. Co. appointed Auditors in EGM but didn't file the Resolution for the same. Further Co. called the AGM and is proceeding to file the Annual Return.
Seeking Advice regarding what will be consequences and remedies. Whether co. is liable to pay fine for the default.
Also advise the period within the said resolution was required to be filed.

Resolution for appointment of auditors to fill casual vacancy is passed as an Ordinary Resolution. Hence it does not require filing with ROC/MCA
