Filing of gnl 2 for adt 1

while filing gnl-2 for Appointment of Auditor filing of Adt-1 is required and then while filling gnl-1 what is the section of adt-1 under Companies Act, 2013?
in others what section no. should we write

24 July 2014 Position under Companies Act, 2013

Companies Act, 2013, casts the duty on the Company to inform the auditor concerned of his or its appointment, and also file a notice of such appointment with the Registrar within fifteen days of the meeting in which the auditor is appointed.

Hence, now as per section 139(1) read with Rule 4(2) of Companies (Audit and Auditors) Rules, 2014, appointment of Auditor at the Annual General Meeting is to be intimated by the Company to the Registrar of Companies within 15 days of appointment through filing of form ADT.1. Form ADT.1 is to be filed through E-form GLN.2 as directed by MCA through its General Circular No. 9/2014 dated April 25, 2014.

For sending intimation to ROC regarding appointment of auditor only form GLN.2 along with ADT.1 required. There is no need to file GLN.1

24 July 2014 Thankyou sir.. that was gnl 2 in the end also it was mistakenly written as gnl-1..so we should give section 139(1) under others in gnl-2..?

24 July 2014 Yes you should mention section 139(1) as you are filing form GLN.2 for appointment of Auditor along with ADT.1

For the purpose of form GLN.2, in case of appointment of Auditor date of event will be the date of AGM in which shareholders appoint the Auditor. As per my understanding it is advisable to attach following documents with form GLN.2 in case of appointment of auditor:

1. ADT.1
2. Copy of shareholders resolution for appointment
3. Eligibility letter cum Consent of auditor
4. Appointment cum intimation letter given to the auditor by the company
