19 May 2016 Dear Experts, please guide me to tackle a situation.. a company has been incorporated in March2014 . but it has not filed any form regarding annual filing any time.. not even about appointment of Auditor.. . now what should i do..?? . hw can i resolve the issue.. . in december 2015 company has change its name..

19 May 2016 As the company is incorporated in March 2014, it has to close its books of accounts for the first year as 31.03.2015 and can convene AGM before the end of 9 months ie., before 31.12.2015. For appointment of First auditor, it is sufficient if the Board of Directors appoint auditors within 30 days of Incorporation and not required to file ADT-1. The auditors appointment is to be done at the first AGM for a period of 5 years and then ADT-1 is to be filed. As there is at present upto 10.06.2016, no additional fee is levied for upload of e returns, you may act fast and do the pending work. Regarding change of name of the company, can you give clarity. ( Take second opinion also)

19 May 2016 Thank U shivaji sir.. . company wanted to change its line of business... so company has change its name in december2015.. . i just wanted to tell that company has filled some forms to ROC after its incorporation..

19 May 2016 i should follow this process.. 1. Board Resolution for appointment of First Auditor date April 2014. . 2. conduct an AGM where members will adopt Financial statements sign dated december2015 for F.y 2014-15. . 3. then at that agm company will appoint auditor for f.y.2015-16. . and all this filing will be done at today's date.. correct?
