Egm resolution required for appointment of first auditor

Our Pvt company incorporated on 01.01.2014 but due to some reason we are not able to appoint auditor in BOARD MEETING within 1 month.

So we required to appoint the first auditor in the EGM.

I humly request you, please provide me resolution.

and if possible provide the procedure.

25 July 2014 You can do one thing. Simple pass a board resolution for the appointment of first auditor in the board meeting in back date.

I am sure your auditor won't object to it. Further there is no need to intimate ROC in case of appointment of first auditor.

Form 23B is required to filed with roc by first auditor with additional fees of 9 time

I im not wrong.

I requst you pls provide me draft resolution for 1st auditor appointment in egm.
