20 February 2010 the date of passing a resolution by board is say, 27-09-2009 for allotment of shares of a bonus issue. what will be the date of allotment.is it 27-09-2009?

can i get a specimen of board resoluion for authorising a director to sign digitally the forms of ROC.

AUTHORISATION FOR DIGITAL SIGNING FOR MCA

The Board was informed that the since the concept of electronic filing introduced in the Ministry of Corporate Affairs, it was required to authorize some person to sign the statutory forms and returns in digital form. Hence the following resolution was unanimously passed:

RESOLVED THAT Mr. Rajeev Kumar, Director or Ms. Anu jain, Director or Company Secretary of the Company be and is hereby authorised severally to execute, file, and or sign the, forms, returns or documents required to be filed under the Companies Act, 1956 with the Registrar of Companies, Ministry of Company Affairs in digital form or otherwise.
