19 February 2010 I want to know whether Disclosure u/s. 308 is to be made at first board meeting of a pvt. ltd. co. where only two directors are present who are also the subscribers to the memorandum?

19 February 2010 Hi,

Section 302 does not prescribe any time limit with in which a director shall give notice to the company disclosing his shareholding.

Hence you may go with the interpretation mentioned by you.
