09 July 2009 I have certian queries regarding directors appointment

My company is having 2 directors already 1 new director has to be appointed in May 08.
Do i have to appoint him as a additional director and fill form no 32 and than again in the agm i have to file form no 32.

And if i hold an EGM in May and file form no 32 than again i have to file 32 in next agm

Please clarify

09 July 2009 Dear Sumit,

If in may 08 you appoint him as additional director then you have to file 2 form 32.

One form 32 for appointment as additional director and second form 32 at the time of AGM when you appoint him as regular director.

My advise to you is convene an extra ordinary general meeting and appoint him as a regular director once for all and file form 32 accordingly only one time.

If EGM is not possible then you have 2 choice.

1. appoint him as additional director and file 32 and later in AGM appoint him as regular director and file form 32 again.

2. Wait till AGM and appoint him as a regular director once for all and file form 32 accordingly only one time.

In case of any doubt please revert.

09 July 2009 But if i appoint him in EGM it has to be done as ordinary or special resolution

And apart from Form no 32 any other forms need to be filled
