08 May 2013 Whether a Whole-time Director needs to be appointed as a director first or A Person can be appointed as a whole time director directly.

08 May 2013 There is a specific DCA clarification that a person should first be appointed as director before appointing as Managing Director.
However there is no such clarification in case of the appointment of WTD. But considering the fact that both MD and WTD are considered as Managerial personnel in the law hence it is advisable to first appoint a person as director and then appoint him/her as WTD.
No need to file 2 form 32. Simply file one form 32 with WTD designation.
This is my opinion.
