24 November 2009 For a Pvt co. with only two directors and also the members of the co. Can the AGM date and Directors report date be the same. if yes at what time both the meeting should be held. Also what should be the date of Auditors. If The Auditors report is signed 21 days in advance, should we call a board meeting for signing the balance sheet before the date of signing of Auditors.

08 December 2009 1) AGM date and date of Directors report cannot be the same. Why because directors report should be send along with notice of AGM to the members well with in 21 clear days time before the date of AGM.
2) auditor should sign the balance sheet with a date which is at least 21 days before the date of AGM.
3) Before the date of signing by the auditors the company should hold a board meeting in which resolution may be passed to the effect that the financial statements of the company has been prepared and should be send to auditors for auditing along with the books of accounts and connected records.
