A public limited co. was having 3 directors, one director resigned & a director in casual vacancy was appointed in his place.
As normal practice the company does not define the period of office of any Director while his appointment so this director in casual vacany does not have any definite tenure (as the person in whos place he was appointed did not have a defined period).
Can the company regularise the appointment of this director in casual vacancy by appointing him as a Director retiring by rotation at the ensuing AGM?

Presuming that director resigned was a regular director appointed by the GM, there is no formal need to regularise him in the ensuing AGM.
At the ensuing AGM you can count this new director for rotational purpose and retire and re-appoint him in normal course.

Does that mean that the status of the Director will be DIRECTOR IN CASUAL VACANCY until we file Form 32?
