09 January 2010 A PRIVATE LIMITED COMPANY WAS INCORPORATED IN THE YEAR 2004, LATER ON ALONGWITH THE PROCEDURE OF E - FILING DIRECTOR IDENTIFICATION NUMBER WAS MADE MANDATORY...THE COMPANY UNDER QUESTION NEITHR GOT ITS ACCOUNT AUDITD NOR FILED ITS RETURNS SINCE INCORPORATION ...SO THE NECESSARY DIRECTOR IDENTIFICATION NUMBER WAS NOT OBTAINED ...NOW ONE OF THE DIRECTOR IS DEAD ...THE COMPANY WANTS TO REGULARISE IT WORKING FILE ITS RETURNS ... WITHOUT DIN IT IS NOT POSSIBLE TO FILE FORM 32...OR THE OTHER RETURNS ...THE DIRECTOR IN QUESTION IS DEAD

09 January 2010 Dear Mr. Sanjay Kumar,

1. Appoint one more Diector in old dates, after obtaining DIN # in his name, pass Board Resolution etc.,

2. File Form 32 with late fee.

3. Now, u and other new Director file the Annual Report

4. Even the Law permits minimum 2 Director, the public should appoint 3 Director as minimum, then only, we can avoid such kind of embrasing situation.

10 January 2010 THANKS MR. NARAYANA ...THE PROBLEM IS NOT ABOUT THE STATUTORY MINIMUM ....THE PROBLEM IS TO HOW TO OBTAIN THE DIN NO OF THE DEAD DIRECTOR....TO FILE THE ANNUAL RETURNS....PLZ REPLY

11 January 2010 Pl send an e mail to appl.helpdesk@mca.gov.in furnishing following details under heading "Form-32-death case- No DIN".
1. Name of the company.
2. Name of Deceased Director.
3. Date of Birth.
4. Date of appointment of Director.
5. Date of filing of form 32 for appointment.
6. Date of death (attach certified copy of death certificate).
Upon receipt of approval e-mail from MCA, company will be required to file form-32 directly in ROC office along with filing fee receipt paid through 'pay miscellaneous fee' option.
ROC will upload the same in the electronic records through 'on demand scanning' option and will update the relevant records of the company.
