Its depend on the nature of company, whether it is public company or private limited company.

MD and WTD are considered as employee of the company.

07 October 2013 The provision of appointment and remuneration of managing director or any director of the Companies Act, 1956 will not applicable to private limited company. They will be governed by their articles.

In case of public company, you will have your Board of directors with the combination of executive and non executive directors.
