25 March 2011 Can anyone tell me:
What will be the status of A Pvt. Ltd.

A Pvt. Ltd.------ B Pvt. Ltd ------- C.Ltd.
Subsidiary Subsidiary

Will the provisions of sec 269 of the companies act, 1956 will be applicable to A Pvt. Ltd. as the provisions are applicable for a private limited Co. which is a subsidiary of a public ltd. co.

26 March 2011 "A Prviate Limited" is a step down subsidiary of C Limited and hence the provisions of Section 269 shall apply.

However I have seen lot of discussions taking place in some other Forum viz., "CS Mysore Googlegroups" that Form 25C filed in respect of a step down subsidiary is not getting approved by MCA and the form is returned with the remarks "The form is not applicable to this company".

So better check with ROC before filing Form 25C.

26 March 2011 Actually ROC, West Bengal has declined to approve e-form 25C with the remarks that "The form is not applicable to this company" thats why i wanted to confirm whether to convince ROC regarding the provisions or not??
