Debenture

Dear Members,

Kindly please help me to know that, if debenture has been issue by the public unlisted company than is there any limit specify for the issuing of debenture and if, yes than what would be the limit??

and how to calcualte the value of debenture? (Valuation Procedure)

Please check whether you are issuing debenture against loan then, the limit of debenture will be the amount of loan. Debenture= (Interest+Principle)

Under section 292 (b) of the Companies Act, 1956 give power to Board for issue of debentures.

Section 293(1) (d) specify limit up to which a Board can take loan subject to the approval of shareholders.

A debentures usually provide for payment of interest until the principle sum is paid back..

A debentures usually provides for payment of specified principal sum at specified date.

You can issue debentures upto loan amount.
