death of a director in pvt ltd

19 May 2010 Dear Sirs,

A pvt. Ltd had only two director (both being first subscibers) also only the share holders.

One director dies three months back,no action has been taken

Querry:

1)how to appoint new director
2) how can there be any BOD meeting or AGM with only one director cum share holder remaining?

thanks for ur kind reply.

But my quetion here is differant.

There were only two director(also only two share holders)

One has died.

Considering this fact,can u sir guide

20 May 2010 The remaining director can himself pass a resolution for appointment of new director and put before the Board in next meeting for noting. Reference is invited to article 75 of table A and section 186 of the Companies Act,1956.
