05 October 2013 Dear Members,

Please clarify regarding the date of issue to be mentioned on the share certificates in following cases:-

1. In case of sub-division of face value of shares:Do we need to mention the date of EGM or we need to conduct one more board meeting after EGM to issue share certificates.??

2. As per section 113 of CA, 1956 share certificates to be issued within 3 months of allotment, in this which date we need to mention on share certificate, the date of allotment or any date within 3 months of allotment??

In any case you will take the Board Meeting date. You call a Board Meeting after EGM and pass a resolution for isue of new share certificate consequent to sub division of shares that Boar Meeting date will be count for section 113.
