31 December 2009 For a private limited Company, In Form 20B the Date of approving balance sheet is 23rd August 2009.
But the Date of Signing balance sheet is 28th August 2009.

How to handle this situation. Also provide the necessary resolutions to be incorporated in Minutes of the Company.

01 January 2010 Date of Signing Balance need not be date of approval it can be after that date. Hence there will not be any problem in ur case.

Resolution for the same is as follows:

â€œRESOLVED THAT the Balance Sheet as at 31st March, 2009 and the Profit and Loss Account for the financial year ended 31st March, 2009 together with the Schedules and Notes forming part thereof be and are hereby approved and be signed by the Directors of the Company, in accordance with the provisions contained in Section 215 of the Companies Act, 1956;

RESOLVED FURTHER THAT the duly authenticated Balance Sheet as at 31st March, 2009 and the Profit and Loss Account for the year ended on 31st March, 2009 together with the Schedules and Notes forming part thereof be submitted to the Statutory Auditors for their Report thereon;

RESOLVED FURTHER THAT subject to the provisions of the Section 219 of the Companies Act, 1956, a copy of the Balance Sheet as at 31st March, 2009 (including the Profit and Loss Account for the year ended 31st March, 2009, the Auditorsâ€™ Report and every other document required by law to be annexed or attached, as the case may be, to the Balance Sheet) be sent to every Member of the Company and others so entitled."

01 January 2010 whether a Board meeting is necessary on the date of signing of balance sheet if it is already approved by the Board..

01 January 2010 Once B/S is approved by Board, no other meeting is required for signing of the same.
