22 September 2014 Can any one send me a draft resoultion for reappointment of directors as per companies act, 2013.

22 September 2014 “RESOLVED THAT pursuant to Section 160 of the Companies Act, 2013 and other applicable provisions (including any modification or re-enactment thereof), if any, of the Companies Act, 2013, Mr. Atul Jain be and is hereby appointed as Director on the Board of Directors of the Company w.e.f. May 17, 2014.

FURTHER RESOLVED THAT for the purpose of giving effect to this resolution, Mr. Manoj Agarwal, Director of the Company be and is hereby authorised, on behalf of the Company, to do all acts, deeds, matters and things as deem necessary, proper or desirable and to sign and execute all necessary documents, applications and returns for the purpose of giving effect to the aforesaid resolution along with filing of necessary E-form as return of appointment with the Registrar of Companies, NCT of Delhi and Haryana.”

Is Section 160 of the companies Act 2013 and Section 256 of the compaines Act, 1956 are same?

Is section 160 of the companies act, 2013 and section 256 of the companies act, 1956.

22 September 2014 Section 160 of companies act 2013 replaces section 257 of companies act 1956.

It is not section 256.
