I have a client who are desirious to convert the firm into pvt. LTD. Co. What Is Procedure, pre-requisite and Documents needed?

1. Incorporate a new private company.
2. Take over the business of existing firm as a going concern with all its assets and liabilities. Prepare a take over agreement for this.
3. Also put the power to take over the firm in the object clause of newly private company.
