09 May 2009 Can you please explain to me in detail the contents of explanatory statements in transacting special business?

09 May 2009 For Ordinary Business explanatory statement is not required u/s 173.

But for any kind of special business you need to attach explanatory statement with the notice of General Meeting.

For example if you are going for increase in authorised capital then in explanatory statement you have to explain the need for such increase in capital.

For more understanding i would suggest download the Annual Report of listed companies from the internet and read the explanatory statement.

If you need explanatory statement pertaining to any specific special business then please mention the name of special business. I'll try and provide you a sample explanatory statement.
