composition of Committee of directors

In a Company there are two directors in committee of Direcors(COD) to approve the transfer of shares, which is required to be held every fortnightly pursuant to clause 49 of the listing agreement.
Please advise can a meeting be conducted if one out of two directors is out of India for a month.

Hello Ritu,
I do not think with one committee member your committee meeting is possible.
Let me tell you running of a committee with two director is not a good idea. So try and change the composition of your committee.
