17 January 2011 IF Companys share capital is more than Rs.5 crores & then also company is not having a member of ICSI and employed an inter CS as secretary then what r the consequences?

18 January 2011 Then the Company has to pay fine of Rs 500 for every day till the company appoints a Whole time Company Secretary.

18 January 2011 But sir manager was telling me that they cant afford a CS so anyone will say like that as it is mentioned in Secton 383A

18 January 2011 In that case you have to appoint a Company Secretary in Practice as retainer,
A Retainer CS will advice you and help in filling & liasioning all legal documents.
The difference between Whole time and Retainership is the physical presence.
Whole time Company Secretary is physically present to advice matters whereas retainer is allways available for advice but he is not required to put daily attendence or work for fixed hours.
