05 October 2013 Dear All,
I am drafting the Minutes of the Board Meeting held in a Public Company.
The Co has authorised a Director for presenting a petition u/s 141 of the Companies Act, 1956 (seeking condonation of delay and extension of time for filing particulars of charge created by the Company.

Please suggest me a preamble to be written above the Resolution in the Minutes of the Meeting.

10 October 2013 The Chairman informed the board members that someone is required to be authorised on behalf of the company to file petition u/s 141 for condonation of delay in filing particulars of charges regarding loan taken by PNB. After due discussion following resolution was passed in this connection:
