18 October 2013 Can additional Director appointed as EGM of the private limited company can act as a Director by passing just a ordinary resolution?

18 October 2013 Yes there is no restriction provided other directors in majority are willing for passing it.

18 October 2013 You should file Form-32 with ROC for change in position also from additional director to director.
