03 July 2014 Appointment of CS in private company is dependent on paid up capital.If paid up capital is more than 5 crore then appointment of whole time CS is mandatory and filing of form dir.12 is also mandatory.

KMP provisions are not applicable on private company as private companies are out of the preview of section 203.
