16 February 2010 Can a Shareholder attend a Board Meeting?

16 February 2010 NO

This is simply not possible. However a shareholder who is also a director is allowed to take part in BM.

16 February 2010 thanks ankur, my query is that a the shareholder is a body corporate and directors are willing to invite the director of that body corporate as its representative and as special invitee for the Board Meeting. The Body Corporate holds the substantial number of shares in the Company. Is that permissible?

I found no bar in the Act, if the director invitees any person whether they are shareholder or any other person who can contribute material to any of the Board's agenda.

16 February 2010 Now as per the info provided—if it is fine with the board then there is no problem. You may go ahead. However such shareholder cannot claim this privilege as a right.
