31 March 2009 I just wanted to know whether common seal applicable for private limited company becoz as per my knowlwdge common seal is totally out of picture from companies act.

Please its urgent and if applicable then specify the documents where it is required to affix.

31 March 2009 "The Seal” means the Common Seal of the Company.

THE SEAL

The company shall have a common seal and the Board shall provide for the safe custody of the seal.

The seal shall not be affixed to any instrument except by the authority of a resolution of the Board of Directors or of a Committee of the Board authorized by it in that behalf and except in the presence of one of the directors who shall sign every instrument to which the seal of the Company is so affixed.

i think pvt. company must also have a seal.
