As per clause 49 of listing agreement the Board shall lay down a code of conduct for all Board Members and senoor , management.Is Code of Conduct prescribed by SEBI or company is free to draft code of conduct.

The Clause 49 of Listing Agreement prescribed by SEBI (Board)states the code of Corporate Governance to be observed by all the Listed Companies.
The specification itself should be followed by the company. Each and every requirement has to be complied with. However, the company on its own may follow other procedures over and above what is specified in Clause 49.
