ONE OF MY CLIENT WANTS TO INCREASE THE AUTHORISED SHARE CAIPTAL WTIH RETROSPECTIVE EFFECT FROM 31.12.2011 FOR THAT HE WAS READY TO PAY THE ADDL FEES. ON VERFICATION FROM THE MCA SITE, IT WAS FOUND THAT THE LAST AGM WAS HELD ON 30.09.2010. IS THERE ANY PROBLEM WHILE I AM NOW SUBMIT THE E-FORM-5 TO ROC. KINDLY GUIDE ME.

Try uploading the form from backdate...if there will be any problem it will refect in prescrunity...

No there will not be any problem in filing form 5. However, your annual filing forms are due to file. But MCA has not put the directors under defaulter list for non filing of annual filing for the f.y. ended 2011.
Even if a company is in dafaulter list form 5 can be uploaded to intimate the change in capital.
