20 August 2010 I read your article. Thanks a lot sir, In government companies most of the directors are appointed in board meeting. Is it? Are they additional directors? If not, Can we appoint them through circular resolution?

20 August 2010 In govt co. there is no compulsion to appoint director in a BM. As suggested earlier you can take the route of circular resolution for appointment of a person as additional director.

To conclude you may appoint a person as additional director u/s 260 through circular resolution by following the procedure given in section 289.The same is also applicable for govt.co.
