20 August 2010 Thank u sir. Circular resolution is applicable for the appointment of all type of directors. Is it sir? Kindly explain the procedure for the appointment of director through circular resolution in a government company. I’d like to know whether that director can be elected as chairman.

20 August 2010 You cannot appoint a director to fill casual vacancy through circular resolution u/s 262.
