xyz private limited are giving guarantee and fix assets as security to abc Bank for providing loan facility to PQR private limited
in this case weather both XYZ and PQR private limited are liable to file form 8 or only by PQR private limited

Yes u need to file Form 8 of both the companies to ROC within 30 days for registration of Charge.
