Is a private limited company required to file form 23B for change of auditor?

Yes, 23B is applicable to all companies.

23B IS NOTICE BY AN AUDITOR TO ROC INTIMATING ABOUT HIS APPNTMNT AS AUDITOR BY A COMPANY AND WHETHER HE ACCEPTED OR REFUSED THE APPNTMNT.
ALL AUDITORS OF PUBLIC/PVT.LTD.HAVE TO COMPLY WITH THIS UNDER SEC 224(1-A) OF COS. ACT.
THE COMPANY HAS NOTHING TO DO WITH FILING OF FORM 23 B.
