Can any one elaborate the complete procedure if all the directors of Pvt. Ltd. company resign and fresh Directors are appointed on their place... What is the procedure to file Form 32 with ROC???

1) Place the resignation letter before the Board and record the same in minutes. However acceptance of the Board is not required.
2) File form 32 within 30 days of resignation.
3) For appointment, pass a Board Resolution.
4) File Form 32 within 30 days of appointment.
5) If the company has only 2 directors, then first file the appointment and then the resignation.
6) Both appointment and resignation can be done by filing a single form 32.
