Gud afternoon madam,
Can anyone provide the resolution for change in designation of managing director to director.

Resolved that pursuant to the provisions of articles of associations of the company or any provisions of the Companues Act, 1956 or any modification thereof Mr........Managing Director of the company is appointed as Director of the company w.e.f.......2013.
Resolved Further That, Mr.........Managing Director, where designated as MD will be designated as director on all matter of the company.
Resolved Further That, Mr........Director of the company be and is hereby authorised to file forms and other documents with ROC and other regulatory authorities.
