25 February 2012 Hello professionals,
In one case which I am handling my company is just now converted into Public Limited Company and want to change the designation of one of its Director from Director to Managing Director. Now what is preferable to change the designation before conversion date or after conversion date?

25 February 2012 You can change either before or after conversion there are no issues.

28 February 2012 Yes I can change either before conversion or after conversion but the issue is of procedures. Can you just explain me the procedure of change in designation.

28 February 2012 Pass resolution for appointment of MD for a period of 5 yrs as per section 269 and sch XIII.

File form 23 and 32 within 30 days of appt and 25C within 90 days of appt.

01 March 2012 Do we need to file file form 25c in case of Change in designation? so is it not advisable to change designation back dated that is before conversion date?

01 March 2012 25C has to be filed u/s 269.
