What is the procedure to change the name of private limited company ?
please provide step by step guidance.

As per section 13 of the companies act 2013, pass the board resolution at the board meeting for approval of the propose name.
check mca , weather such desirable name is available or not
authorize director or cs to make application to roc in form inc 1.
form inc 1 shall be filled along with the copy of the Board resolution.
if the propsed name is avialbale , then it shall be adopted within 60 days from the date of intimation by roc
hold the general meeting and pass the resolution for change in name
an application shall be filed with roc in form inc 24 for change in the name of the company.
the company who has defaulted in filing the annual returns or finacial statement of the company or failed in repayment of deposit cannot change their names.
file mgt 14 within 30 days of passing special resolution along with certified copy of special resolution.
after full satisfaction , roc shall issue the fresh certificate of incorporation in form INC 25.
AFTER THE CHANGE OF THE NAME OF THE COMPANY PASS BOARD RESOLUTION FOR ADOPTION OF COMMON SEAL AND AUTHORIZE THE PERSON UNDER WHOM SUCH COMMON SEAL SHALL BE KEPT UNDER LOCK AND KEY
