Certified True Copy of Board Resolution

12 October 2010 I have few quastions:

1. Who shall sign the certified true copy of board resoltion ?

2. In case it is signed by Company Secretary / CMD only, how do we (as an outsider) that all other dierctors have agreed to the resolution ?

3. What happens afterwards if company disowns the resolution and says that such resolution was never passed.

12 October 2010 1. CTC of BR may be signed by CS or any director.

2. You may act upon the signed resolution. You do not need to investigate too much as it is an internal matter of the company. Further doctrine of indoor management protect you (outsider)

Alternatively you nay ask for the copy of signed form 32 for the appointment of CS or director.

3. This kind of risk is always there in all companies. To avoid this kind of risk you may ask for the minutes of BM or GM
