Category of Director while filing Form32 with ROC

10 August 2009 When we are filling up Form 32 of a pvt. Ltd. Company with ROC for appointment of a Director it asks for the category of Director i.e.whether Promotor, Independent or Professional. Please guide us about these category explaining which category to be selected and when.

10 August 2009 Hi,

If you are filing form 32 at the time of incorporation then you have to select Promoter director.
If director is drawing remuneration then select executive director. MD or WTD is always considered as executive directors. In other case select non-executive director.

If you are appointing any person who is relative of any existing promoter director then select dependent diector.

If you are appointing any person as ordinary director who is not connected with any existing director in any manner then select:

1. Independent director
2. Non-executive director

10 August 2009 We are filing Form 32 for change in designation from additional director to director in AGM. If the appointee director is wife or cousin of the existing Director then which category to select as the form has only three options :
Promoter
Independant
Professional
Also please explain the defination of promoter and promoter director

10 August 2009 Promoter is the one who promoted the company; if he is also the director then he is a promoter director
Now If the director has been appointed in independent capacity or for his professional qualification then Independent Director or Professional may be selected. However, if the director is appointed because of his relation with promoter(not director) then promoter may be selected
